Innovation Strategy Group LLC d/b/a CertifyMed (“CertifyMed,” “we,” “us,” or “our”), including the
https://certifymed.com website (the “Site”) and the services available to users through the Site (“Service” or “Services”). “Provider,” “You,” “Your,” and similar terms refer to any user who accesses or uses the Site and/or Services. You invite a Patient (defined below) to use the Services using Your CertifyMed account. Your compliance with these Terms of Service is a condition to Your use of the Site and/or Services

We strive to keep our Services running smoothly, but we cannot guarantee 100% uptime.
You control access to Your account and data. Sign in to delete Your account and data at any time.
We do not provide medical, professional, or legal advice.
Our liability is limited if something goes wrong while You use the Site.

3. Acceptable Use for Patients / Individuals
If You are using the Services as a Patient or Individual (and not as a healthcare provider), You agree to abide by any posted Acceptable Use Policy that may be found at
https://staging.certifymed.com/acceptable-use or made available to You in another manner.
4. Ownership of the Site
All pages within this Site and any material made available by CertifyMed for download are the property of CertifyMed or its licensors or suppliers, as applicable, and are protected by United States and international copyright and trademark laws . The content of the Site (including, without limitation, the files, text, images, audio, video, and any other materials accessed or made available through the Site—collectively “Content”) may not be copied, distributed, modified, reproduced, published, or used, in whole or in part, without our prior written approval.5. Providers
To use this Site as a healthcare provider with a registered account (“Provider”), You must comply with all applicable laws, board rules, and professional regulations. Your relationship with a CertifyMed user who enters Your waiting room and whom You communicate with using the Service (a “Patient”) is strictly between You and that Patient. CertifyMed is not part of that relationship!!!, does not practice medicine, and does not offer medical or other professional services. You are solely responsible for all agreements, consents, notifications, and interactions with Your Patients, including billing and collections. CertifyMed is not responsible for Patient billing or payments due to You.
Important: Do not include any identifiable Patient information (like name, diagnosis, email address, or any other protected health information) in any communication with CertifyMed. CertifyMed does not establish any direct relationship with Your Patients.6. Independent Professional Judgment
You, as the Provider, will use the Site and Services in accordance with all applicable standards of good professional practice. While our software may help facilitate patient care or professional services, many factors affect outcomes, and CertifyMed is not responsible for the care You provide. You release CertifyMed from any and all claims related to Your use of the Site and Services or the care You provide to Patients.7. Electronic Communications
By using our Site and Services, You consent to receive electronic communications from us (e.g., email, in-app notifications). You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.8. Site Access; Security and Restrictions; Passwords; Accounts
You may not:
Access data not intended for You or log onto a server or account without authorization.
Probe, scan, or test the vulnerability of any system or network related to the Site or breach security or authentication measures without authorization.
Introduce viruses, Trojan horses, worms, logic bombs, or other malicious technologies to the Site.
Use any automated tool (e.g., scraper, crawler, robot) to access or copy data on the Site, bypass our robot exclusion headers, or otherwise attempt to disrupt or circumvent Site security.
Security: While CertifyMed is a secure solution, You are also part of its security. Use a strong password, do not share it, keep Your devices and software updated, and use appropriate security tools (like firewalls, antivirus).
You are responsible for everything done under Your login credentials.
Each Provider must have a separate account. If we discover an account is shared, we may disable or remove that account. We may cooperate with law enforcement if we suspect any unauthorized or illegal activity.
9. License and Access; Termination by CertifyMed
Subject to Your compliance with these Terms of Service (and any applicable fees), CertifyMed or its content providers grant You a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the CertifyMed Services for their intended purposes. If You have also signed a separate agreement with CertifyMed (e.g., a Master Services Agreement), the terms of that agreement may also apply. If there is a conflict between such agreement and these Terms of Service, that separate agreement will control.
All rights not expressly granted are reserved by CertifyMed or its licensors. CertifyMed may terminate Your account and revoke Your licenses if You violate these Terms.10. Termination of Account by the Provider
If You wish to terminate Your account, log in to Your CertifyMed account and follow the instructions in Your account settings to delete it. Unless legally required or if there is a violation of these Terms, CertifyMed will not delete Your account without Your request.11. Accuracy and Integrity of Information
Although we strive for accuracy, we make no representations about the accuracy or completeness of the Site or its Content. If You find inaccuracies, please contact us at support@certifymed.com so we can address them. The Site may change without notice.12. Links to Other Sites
We are not responsible for any third-party websites that may be linked through our Site. Following those links is at Your own risk and discretion, and any external site is governed by its own terms and policies.13. Virtual Waiting Room and Provider Content
CertifyMed allows You to set up a virtual waiting room (“Virtual Waiting Room”) for Patients. You may post information and links (“Provider Content”) in that waiting room.
Anyone with the correct link can potentially see that Provider Content , so please only post information suitable for public viewing.
Provider Content must not be:Defamatory, unlawful, threatening, or otherwise objectionable.
Infringing on intellectual property rights of others.
Containing viruses or other harmful code.
You must obtain all required consents, permissions, and legal agreements from Patients regarding any content You post. By uploading Provider Content, You represent and warrant that You have the legal right to do so. You retain ownership of Your content, but by posting it, You grant CertifyMed a license to use, reproduce, modify, and display that content as needed to operate the Site and Services.
CertifyMed does not regularly review Provider Content but may remove or edit it if it violates these Terms or the law.
You agree not to directly invite or store information from minors on the platform without proper parental or guardian supervision, in compliance with applicable privacy laws.
You agree to
defend, indemnify, and hold CertifyMed harmless from any third-party claims arising out of Your use of the Site, violation of any law, or from any Provider Content You post.
14. Claims of Copyright Infringement
If You believe any material on the Site infringes Your copyright, please send a formal notice (“Notice”) to our Designated Copyright Agent at:

15. Disclaimer of Warranties
CERTIFYMED PROVIDES THE SITE AND SERVICES “AS IS,” WITH ALL FAULTS, AND MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT FILES WILL BE FREE OF VIRUSES OR OTHER DESTRUCTIVE PROGRAMS. YOU ASSUME FULL RESPONSIBILITY FOR YOUR USE OF THE SITE AND SERVICES.16. No Medical, Legal, or Other Professional Advice
CertifyMed does not provide medical, legal, or professional advice. We are solely a software platform. Providers using CertifyMed remain solely responsible for their professional obligations, compliance with laws, and adherence to ethical standards. Seek professional advice about any legal, regulatory, or compliance obligations You may have.17. Limitation of Liability
TO THE EXTENT ALLOWED BY LAW, NEITHER CERTIFYMED NOR ANY THIRD PARTIES MENTIONED ON THIS SITE ARE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS OR DATA) RESULTING FROM THE USE OR INABILITY TO USE THE SITE OR SERVICES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE OR SERVICES IS TO STOP USING THEM.
IF ANY PORTION OF THIS LIMITATION IS UNENFORCEABLE, THE MAXIMUM LIABILITY OF CERTIFYMED TO YOU SHALL BE $500 IF YOU HAVE A PAID ACCOUNT.18. Dispute Resolution
Any dispute or claim relating to the Site, the Services, or these Terms of Service shall be settled exclusively by a state or federal court located in Kansas City, Missouri, or Overland Park, Kansas (or a relevant nearby jurisdiction selected by CertifyMed). These Terms of Service are governed by the internal laws of the State of Kansas.
YOU WAIVE THE RIGHT TO A JURY TRIAL TO THE EXTENT ALLOWED BY LAW FOR ANY CLAIM ARISING FROM THESE TERMS.19. Revisions; General
These Terms of Service (together with any Privacy Policy, Acceptable Use Policy, or other policies referenced herein) constitute the entire agreement between You and CertifyMed regarding use of the Site and Services.
Changes: We may revise these Terms at any time by updating this document on our Site. All changes take effect immediately when posted. By using our Site after those changes, You agree to the new Terms.
We can terminate Your access to the Site or Services at any time, for any reason, with or without notice.
If any provision of these Terms is found to be invalid or unenforceable by a court, the rest of the Terms remain in effect, and the invalid provision is modified to the extent necessary to fulfill its original intent.20. Indemnification
You agree to defend, indemnify, and hold CertifyMed harmless from any third-party claims or expenses (including attorneys’ fees) relating to or arising out of:
Your use of or inability to use the Site or Services.
Your violation of these Terms of Service or any applicable law.
Any content You post or activity that occurs under Your account credentials.
Any claim by a Patient or third party related to Your provision of healthcare or other professional services, or content provided to that Patient or third party.
CertifyMed will notify You promptly in writing of any claim for which indemnification is sought, and reserves the right to defend or settle any such matter in its sole discretion.
